These Terms and Conditions (“Terms”) govern your access to and use of the Site and your purchase of our products and services, including yearly subscription access to our AutoCAD Civil 3D plugins and related digital products (“Products”).

By using the Site or purchasing a Product, you agree to these Terms. If you do not agree, do not use the Site or purchase Products.

1. Relationship to the EULA

Your use of any software is governed by our separate End User License Agreement (“EULA”), which you will be required to accept during download, installation, activation, and/or first use.

These Terms cover the Site, ordering, billing, refunds, and general policies. If there is a conflict between these Terms and the EULA regarding software usage, the EULA controls.

2. Customer Information and Responsibilities

When you purchase a Product, you may be required to provide certain information, including your name, business name (if applicable), email address, billing information, and any other details reasonably necessary to process payment, deliver the Product, provide support, and communicate important notices (such as renewal or policy updates).

You agree to provide accurate and complete information at the time you submit it. If your information changes, it is your responsibility to contact us at [support@infinitycivils.com] to request an update. We are not responsible for issues caused by outdated, incomplete, or incorrect information you provided (for example, failure to receive delivery emails, support responses, or renewal/cancellation confirmations).

You are also responsible for ensuring your Autodesk software environment is properly licensed and compatible, and that your system meets any stated requirements.

3. Orders, Digital Delivery, and Access

Products are delivered digitally (for example: download links, activation credentials, or email delivery). Delivery may be immediate or may require verification in some cases.

We may update or change the Site, product offerings, and features over time.

4. Subscriptions, Auto‑Renewal, and Billing

4.1 Subscription Term

Subscriptions are billed yearly unless otherwise stated at checkout.

4.2 Auto‑Renewal

Unless you cancel before your renewal date, your subscription will automatically renew for another yearly term, and you authorize us (and our payment processor) to charge your payment method on file for the renewal amount plus applicable taxes.

4.3 Cancellation

To cancel renewal, you must contact us at [support@infinitycivils.com].

Cancellation stops future renewals.
Your subscription access continues until the end of the current paid term (unless suspended/terminated for cause).

4.4 Price Changes

We may change subscription pricing. Any price changes generally apply starting with your next renewal, to the extent permitted by applicable law.

4.5 Taxes

Prices may exclude applicable taxes unless stated otherwise. You are responsible for applicable taxes and government charges unless we are required to collect them.

4.6 Failed Payments and Chargebacks

If a payment fails, is reversed, or is disputed/charged back, we may suspend or terminate access until the issue is resolved. Abusive chargebacks or fraud may result in permanent suspension.

5. Strict No‑Refund Policy

All sales are final. No refunds, returns, or exchanges. This includes (without limitation) unused time, mistaken purchases, or failure to cancel before renewal.

Exception: If a refund is required by applicable law, we will comply with the law.

6. Support

We aim to provide helpful, good‑faith customer support for genuine issues during an active subscription term. Support is offered via [support@infinitycivils.com].

Support may require you to provide reasonable information such as product version, Autodesk version, logs, screenshots, and steps to reproduce an issue.

We do not guarantee specific response times or outcomes, but we will make reasonable efforts to assist.

7. Acceptable Use

You agree not to:

misuse the Site or Products,
attempt unauthorized access to accounts/systems,
interfere with Site security or operations,
distribute malware or harmful code,
engage in fraud, payment abuse, or illegal activity,
violate applicable laws or third‑party rights.

8. Intellectual Property and Trademarks

The Site content and Products (excluding third‑party components) are owned by the Company and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms and/or the EULA.

Autodesk Disclaimer: We are not affiliated with Autodesk, Inc. Autodesk, AutoCAD, and Civil 3D are trademarks of Autodesk, Inc. and are used for identification purposes only.

9. Third‑Party Services

We may use third‑party services (e.g., payment processors, analytics, email delivery). Your use of those services may be subject to their terms and policies. We are not responsible for third‑party services outside our control.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS (INCLUDING ANY SUPPORT) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

Professional Use Notice: Our Products may assist with drafting/automation workflows, but you are solely responsible for verifying outputs and ensuring compliance with project requirements, standards, and applicable regulations.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SUBSCRIPTION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless the Company and its owners, employees, and contractors from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Site/Products or your violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your account/access to the Site or Products if you violate these Terms, engage in fraud or payment abuse, or if required to protect the Site, our customers, or our rights.

Upon termination, any amounts owed remain owed, and sections that should survive (e.g., IP, disclaimers, limitation of liability) will survive.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, excluding conflict‑of‑laws rules.

Any dispute arising out of or relating to these Terms, the Site, or Products will be brought exclusively in the state courts located in Collin County, Texas, or if federal jurisdiction exists, the federal courts that serve Collin County, Texas, and you consent to personal jurisdiction and venue in such courts.

16. Changes to These Terms

We may update these Terms from time to time by posting an updated version on the Site and updating the Effective Date. Continued use of the Site or Products after changes become effective means you accept the updated Terms.
